Terms of Service

These Terms form a binding agreement between you (“you”, the “user”) and Modela AI (“we”, “us”, “our”). They apply every time you access the Service, whether or not you hold a paid plan.

They work together with our Privacy Policy, which explains how we handle your data, and our Refund Policy, which sets out when money is returned. Both are incorporated into these Terms by reference.

The Service is operated by:

Payments for the Service are processed by Paddle.com Market Ltd, which acts as the merchant of record and the authorised reseller of the Service. Paddle handles payment processing, invoicing, sales tax and VAT, and refunds. Your card statement and receipts will therefore reference Paddle rather than Modela AI.

You must be at least 18 years old to hold an account. By using the Service you confirm that you meet this requirement and that you have the legal capacity to enter into this agreement.

If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation to these Terms, and “you” refers to that organisation.

You need an account to generate images. You are responsible for the accuracy of the information you register with, for keeping your credentials confidential, and for all activity that takes place under your account.

• One person or organisation per account; accounts may not be shared or resold
• Tell us immediately at support@studiomodela.com if you suspect unauthorised access
• We may refuse, suspend, or remove an account that breaches these Terms

You may delete your account at any time from your account settings. Deletion is described in section 6 of the Privacy Policy.

The Service generates photographic-style images of garments on AI-generated models. You upload images of a garment, choose a model and settings, and we pass that input to third-party AI image generation providers on your behalf and return the results to you.

The Service is provided on a credit basis: each generation consumes credits from your balance according to the resolution, render mode and number of images you request. The current rates are shown in the studio before you confirm a generation.

We offer one-off credit packs and recurring subscription plans. The price, credit allocation and billing period of each are shown at checkout before you pay.

• Subscriptions renew automatically at the end of each billing period until you cancel
• Renewal is charged to your saved payment method at the price in force when the period begins
• Sales tax or VAT is calculated and applied by Paddle based on your location, and is shown at checkout

We may change our prices. A change to the price of a subscription takes effect at your next renewal, and we will tell you by email at least 14 days before it does, so that you can cancel first if you prefer.

If a payment fails, we may retry it and may suspend access to paid features until it succeeds. Billing questions go to billing@studiomodela.com.

You may cancel a subscription at any time. Cancellation stops the next renewal; your plan stays active, with its credits, until the end of the period you have already paid for.

A purchase can be refunded in full within 14 days if none of the credits it granted have been spent. The full conditions, and how to ask, are set out in the Refund Policy. Nothing in these Terms limits any statutory right of withdrawal you may have as a consumer.

To the fullest extent we are able to grant it, we assign to you all rights we may hold in the images the Service generates for you (“Output”). You may use Output commercially, including in online stores, marketplaces, catalogues, advertising and social media.

Two limits you should know about:

• AI-generated material may not attract copyright protection in every jurisdiction. We cannot promise that you can stop others from using a similar image.
• Output is produced from models that other users also use. Images generated for different users from similar inputs may resemble one another, and we cannot grant you exclusivity over a model’s appearance.

You are responsible for how you use Output, including compliance with advertising, consumer protection and labelling rules in your market — such as any obligation to disclose that an image is AI-generated.

You must not use the Service to create, upload, or distribute:

• Sexual content, nudity, or any sexualised depiction of a minor
• Images of a real identifiable person without their consent, including public figures
• Content that infringes intellectual property, including counterfeit goods or another brand’s protected designs and marks
• Content that is unlawful, defamatory, harassing, hateful, or that promotes violence or discrimination
• Deliberately deceptive material, including deepfakes and misleading advertising
• Content depicting weapons, drugs, or other regulated goods in breach of local law

You also must not:

• Attempt to circumvent credit accounting, rate limits, or any other technical control
• Scrape, spider, or use automated means to access the Service outside a documented API
• Reverse engineer the Service, or use it to build or train a competing AI model or service
• Resell or sublicense access to the Service without our written agreement
• Interfere with the Service’s security, availability, or other users’ use of it

We may review generations where we have reason to believe these rules have been broken, and we may remove content and suspend accounts under section 15.

The Service is generative. Output is probabilistic, and it will not always be accurate, consistent, or usable. In particular, generated images may misrepresent the cut, drape, texture, colour, fit or fine detail of the garment you uploaded.

Output is not a photograph of a real product on a real person. If you present it to customers as if it were, that is your decision and your responsibility. We recommend reviewing every image before publishing it, and we strongly recommend not relying on generated images alone where accuracy of the product is material to a purchase.

You accept that identical settings may produce different images on different runs, and that we cannot guarantee a specific result, likeness, or level of quality.

We aim to keep the Service available and working, but we do not promise uninterrupted access. The Service depends on third-party infrastructure and AI providers, and it may be unavailable during maintenance, provider incidents, or events outside our control.

We may add, change, or remove features. Where a change materially reduces functionality you are paying for, we will give you notice by email and you may cancel and request a refund of the unused portion of your current period.

The Service itself — its software, interface, design, text, branding and name — belongs to Modela AI or its licensors, and is protected by intellectual property law. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service as it is intended to be used, and nothing more.

We may suspend or terminate your access, with notice where practical, if you:

• Breach these Terms, in particular the acceptable use rules in section 11
• Fail to pay amounts due
• Use the Service in a way that risks harm to other users, to us, or to a provider
• Are suspected, on reasonable grounds, of fraud or payment abuse

For a serious breach — unlawful content above all — suspension may be immediate and without notice. Where we terminate an account for breach, unused credits are forfeited and no refund is due. Where we terminate for any other reason, we will refund the unused portion of your current subscription period and any wholly unspent credit pack.

You may stop using the Service and delete your account at any time. Sections 9, 10, 14, 16, 17, 18 and 20 survive termination.

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty as to the accuracy, quality or commercial suitability of Output.

Nothing here excludes a warranty or right that cannot lawfully be excluded, including consumer rights under the law of your country of residence.

To the fullest extent permitted by law, Modela AI is not liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profit, revenue, goodwill, data, or business opportunity, arising out of or in connection with your use of the Service — even if we were advised that such loss was possible.

Our total aggregate liability arising out of or in connection with these Terms is limited to the total amount you paid us for the Service in the 12 months immediately preceding the event giving rise to the claim.

These limits do not apply to liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or to any other liability that cannot lawfully be limited.

You agree to indemnify and hold Modela AI harmless against claims, damages, losses and reasonable legal costs brought by a third party and arising from Your Content, your use of Output, or your breach of these Terms — in particular a claim that material you uploaded infringed someone’s rights or that you lacked consent to use a person’s image.

We may update these Terms as the Service and the law develop. When a change is material, we will update the date at the top of this page and notify you by email at least 14 days before it takes effect.

Continuing to use the Service after the effective date means you accept the updated Terms. If you do not accept them, cancel your subscription and stop using the Service before that date; where the change materially disadvantages you, you may request a refund of the unused portion of your current period.

These Terms are governed by the law of Ukraine, without regard to its conflict of law rules, and the courts of Ukraine have jurisdiction over any dispute.

If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer law in your country of residence, or of the right to bring proceedings in your local courts where that right is given to you by law.
